Sounds something like PHPNuke. I personally hate PHPNuke, but it does have a membership system, with PM's, forum, news system, downloads section, templates avialable.

I've tried PHP-Nuke, and I didn't like it much. Compared to similar products, it seems slow and the way the admin panel worked was a little confusing at first. It's also no longer free. This site gives you more options if you're looking for a free CMS, and you can even try them all out there

e107.org is very nice. It has a much cleaner layout than phpnuke.

PHPNuke also seems too 'cluttered' for me. I seems to busy, and really doesn't look that good in my opinion. I have looked at alot of CMS's, and I remember e107 was on my top 3 list. It is also available in CPanel in Fantastico if you have it
